The Compensation Committee of Liberty Broadband Corporation's Board of Directors is responsible for assisting the Board in discharging its responsibilities relating to executive compensation and producing an annual report on executive compensation. The Committee has at least two members who satisfy the independence requirements set forth in the Nasdaq Rules and may not accept compensatory fees from the Corporation or its subsidiaries. The Committee's functions and responsibilities include reviewing and approving corporate goals and objectives, evaluating the CEO's performance, setting the CEO's compensation level, and reviewing and approving the compensation of other officers. The Committee also reviews and makes recommendations regarding the compensation of subsidiary officers and may make recommendations to the Board with respect to incentive-compensation plans and equity-based plans.
