The General Conditions of Sale and Delivery include 13 sections:
1. Scope of Application: deliveries subject to these conditions and statutory law.
2. Offers, Contracts: contracts formed by written order confirmation or fulfillment.
3. Form: "in writing" includes email, facsimile, etc., and "written form" requires a hand-signed document.
4. Prices: ex works, excluding packaging costs, with consumption tax added.
5. Payment, Set-off: payment due within 5 days, set-off permitted for undisputed claims.
6. Place of Performance, Shipment: delivery at place of production or storage, shipment at purchaser's risk.
7. Partial Delivery and Performance: permitted to a reasonable extent.
8. Delivery Schedules, Delay: purchaser must grant additional delivery period, then notify of intentions.
9. Transport Insurance: seller may obtain insurance on behalf of purchaser.
10. Retention of Title: goods remain seller's property until all claims are satisfied.
11. Force Majeure: releases seller from obligations due to unforeseen events.
12. Product Information: based on seller's product specifications, guarantees only if agreed in writing.
13. Complaints: claims must be submitted in writing within 10 days of delivery or discovery of defects.
