Summary

The Securities and Exchange Commission (SEC) and Commodity Futures Trading Commission (CFTC) receive numerous whistleblower tips daily, with the SEC averaging 49 tips per workday in 2021. Despite the importance of these tips, the process of sifting through them to determine which to investigate has been secretive. Research using a new dataset obtained under the Freedom of Information Act reveals that tipsters represented by lawyers are more likely to have their tips investigated, with repeat-player lawyers and those who previously worked at the SEC being particularly successful. This has led to a "whistleblower industrial complex" where private lawyers have earned hundreds of millions of dollars in fees, often with little public accountability or transparency. The system's efficiency and accountability deficits are highlighted, and reforms are proposed to realign private actors with the public interest, including regulating whistleblower lawyers and improving transparency in the tip-sifting process.
