This Agreement is entered into as of [Effective Date] between Internet Corporation for Assigned Names and Numbers (ICANN), a California nonprofit public benefit corporation, and Taipei City Government, a public authority formed under the laws of the Republic of China (Taiwan), as Registry Operator.

ARTICLE 1: DELEGATION AND OPERATION OF TOP-LEVEL DOMAIN

Domain: The Top-Level Domain (TLD) to which this Agreement applies is .taipei.
Registry Operator Designation: Upon the Effective Date and until the earlier of the expiration of the Term or termination of this Agreement, ICANN designates Registry Operator as the registry operator for the TLD, subject to necessary approvals and requirements for delegation of the TLD and entry into the root-zone.

Technical Feasibility:

Registry Operator is responsible for ensuring the technical feasibility of the TLD string prior to entering into this Agreement.

Representations and Warranties:

(a) Registry Operator: Represents and warrants to ICANN:
It is duly organized, validly existing, and in good standing under its jurisdiction's laws.
It has all requisite power and authority and has obtained all necessary approvals to enter into and perform this Agreement.

(b) ICANN: Represents and warrants that it is a nonprofit public benefit corporation duly organized, validly existing, and in good standing under the laws of the State of California, United States of America. ICANN has all requisite power and authority and has obtained all necessary corporate approvals to enter into and perform this Agreement.

ARTICLE 2: COVENANTS OF REGISTRY OPERATOR

2.1 Approved Services; Additional Services: Registry Operator is entitled to provide the Registry Services described in Specification 6 (Attached) and such other Registry Services set forth on Exhibit A (collectively, Approved Services). Any Additional Service (a material modification to an Approved Service or a new service not listed as an Approved Service) requires ICANN approval according to the Registry Services Evaluation Policy.

2.2 Compliance: Registry Operator shall comply with all Consensus Policies and Temporary Policies found at , in effect as of the Effective Date and adopted in the future in accordance with ICANN Bylaws.

2.3 Data Escrow: Registry Operator shall comply with the registry data escrow procedures set forth in Specification 2 (Attached).

2.4 Monthly Reporting: Within 20 calendar days following the end of each calendar month, Registry Operator shall deliver reports to ICANN in the format specified in Specification 3 (Attached).

2.5 Publication of Registration Data: Registry Operator will publish registration data in accordance with ICANN's then-current policies and procedures.
