This REGISTRY AGREEMENT (this "Agreement") is entered into as of (the "Effective Date") between Internet Corporation for Assigned Names and Numbers, a California nonprofit public benefit corporation ("ICANN"), and , a Registry, LLC, a Washington State limited liability company ("Registry Operator"). Article 1 designates Registry Operator as the registry operator for the Top-Level Domain _.forum ("TLD") upon the Effective Date until the earlier of the Term expiration (Section 4.1) or Agreement termination (Article 4). Registry Operator warrants the TLD string's technical feasibility prior to Agreement entry. Registry Operator represents and warrants that all material information in its TLD application and negotiation statements were true and correct at the time made and remain so as of the Effective Date, it is duly organized and validly existing under Washington State law, and it has delivered a binding Continued Operations Instrument securing funds for TLD registry functions upon Agreement termination. ICANN represents it is a duly organized California nonprofit public benefit corporation with requisite authority to enter into this Agreement. Article 2 requires Registry Operator to provide Approved Services as defined in Specification 6 and Exhibit A; seek ICANN approval for any Additional Service; comply with all Consensus Policies and Temporary Policies as adopted under ICANN Bylaws; follow registry data escrow procedures in Specification 2; and deliver monthly reports to ICANN within twenty calendar days of each month per Specification 3. Registry Operator shall provide public registration data as required.
