Summary

EPP N.V. announces details regarding the Redefine offer to EPP shareholders, including the treatment of fractional entitlements to Redefine shares. If an EPP shareholder accepts the Redefine offer and becomes entitled to a fraction of a Redefine share, the fractional entitlement will be rounded down to the nearest whole number of Redefine shares, with a cash payment made for the fraction. The cash payment will be based on the volume weighted average traded price of a Redefine share on the JSE, discounted by 10%. The tax treatment of the fractional cash payment will depend on individual circumstances and jurisdiction. EPP shareholders who hold shares on the LuxSE register and wish to accept the Redefine offer must transfer their shares to a South African CSDP or broker account. Shareholders who do not or are unable to accept the Redefine offer are cautioned about the lack of share liquidity in an unlisted environment. Redefine undertakes to facilitate off-market purchases from affected retail investors who cannot accept the Redefine offer, subject to applicable rules and legislation.
