The purpose of the Policy is to define general principles and guidelines for the selection, evaluation, and proposal of candidates for the Board of Directors, as well as to establish criteria for assessing the individual and collective suitability of its members. The Policy applies to the members of the Board of Directors of INTRACOM HOLDINGS and is fully harmonized with the applicable provisions of Greek law on corporate governance. The Board of Directors, with the assistance of the Remuneration and Nomination Committee, is responsible for initiating, guiding, and coordinating the process of selecting suitable candidates for the Board of Directors. The Committee has an advisory role in evaluating and proposing candidates who meet the suitability criteria. The Policy also outlines the principles for selecting, replacing, or renewing the term of Board members, including their level of education, social recognition, experience, integrity, honesty, and objectivity. Additionally, the Policy emphasizes the importance of continuous training and education for Board members to ensure they have the necessary knowledge and understanding to perform their duties effectively.
