External Information Reporting and Use Management System
Article 1: To standardize the company's external reporting of related information and the use of company information by external information users, strengthen the company's periodic reporting and major event disclosure, and comply with relevant laws and regulations, this system is established.
Article 2: This system applies to the company and its subsidiaries.
Article 3: The information referred to in this system includes all information that may affect the company's stock price, including but not limited to periodic reports, temporary announcements, financial reports, statistical data, and major events.
Article 4: The company's directors, supervisors, and senior management personnel must comply with the requirements of the information disclosure internal control system.
Article 5: The company's directors, supervisors, and senior management personnel, as well as other relevant personnel, have a duty of confidentiality during the preparation of periodic reports and major events.
Article 6: The company should refuse to provide external units with annual statistical reports and other reports that are not required by law.
Article 7: Before reporting external information, the relevant departments of the company must follow the approval procedures.
Article 8: When reporting external information, the company must provide a "Confidentiality Notice" to the recipient and have them sign a "Receipt for External Reporting of Information".
Article 9: External units or individuals must not disclose the company's unreported major information and must not use the information to buy or sell the company's securities.
Article 10: External units or individuals must not use the company's unreported major information in any documents before the information is publicly disclosed.
Article 11: If an external unit or individual causes the company's major information to be leaked due to improper confidentiality, they must immediately notify the company.
Article 12: The company's departments and subsidiaries must strictly implement this system and supervise external units or individuals to comply with this system.
Article 13: This system is implemented in accordance with relevant laws, regulations, and the company's articles of association.
Article 14: This system is effective as of the date of approval by the company's board of directors.
Article 15: The company's board of directors is responsible for interpreting this system.
