Summary

The Securities and Exchange Commission is proposing rules to improve the governance of clearing agencies by reducing conflicts of interest, increasing transparency, and aligning incentives among owners and participants. The proposed rules establish requirements for board and committee composition, independent directors, management of conflicts of interest, and board oversight. Comments on the proposal are due by October 7, 2022. The Commission is withdrawing previous proposed rules and replacing them with a new Rule 17Ad-25 to mitigate conflicts of interest and promote fair representation of owners and participants in clearing agency governance.
