Summary

CSA Multilateral Staff Notice 58-309 reports on the review of disclosure regarding women on boards and in executive officer positions as prescribed in National Instrument 58-101 Disclosure of Corporate Governance Practices. The review sample consisted of 660 issuers with year-ends between December 31, 2016, and March 31, 2017. Key findings include:

- 14% of board seats were occupied by women, with 61% of issuers having at least one woman on their board.
- 62% of issuers had at least one woman in executive officer positions.
- 35% of issuers adopted a policy relating to the representation of women on their board, and 11% adopted targets for the representation of women on their board.
- 97% of issuers disclosed the number or percentage of women on their boards, and 94% disclosed the number or percentage of women in executive officer positions.

The review also noted compliance findings, including instances where disclosure was vague or boilerplate in nature, and identified areas for improvement.
