Public Interest Incorporated Foundation Yamaguchi Prefecture Human Resource Development Foundation Officer Remuneration Regulations

Article 1: Purpose
This regulation is based on Articles 15 and 32 of the Foundation's articles of incorporation and defines necessary matters regarding remuneration and expenses for officers and council members.
Article 2: Definitions
1. Officers refer to directors and auditors.
2. Full-time officers are directors who primarily work for the Foundation.
3. Part-time officers are officers who are not full-time.
4. Remuneration includes compensation, bonuses, and other benefits received for performing duties, as defined in Article 5, paragraph 13 of the Public Interest Corporation Authorization Law.
5. Expenses refer to costs incurred while performing duties, such as communication fees, travel expenses, and handling fees.
Article 3: Remuneration
1. The Foundation may provide remuneration to officers and council members as compensation for their duties.
2. Full-time officers' remuneration consists of regular remuneration (Appendix 2) and bonuses (Appendix 3).
3. Part-time officers (limited to the chairman) receive a monthly remuneration (Appendix 4).
4. Part-time officers (excluding the chairman) and council members receive remuneration for attending meetings and other necessary activities (Appendix 5).
5. No retirement allowance is provided to officers and council members.
6. The total annual remuneration for officers is limited to the amount specified in Appendix 6.
Article 4: Determining Regular Remuneration
The chairman determines the monthly regular remuneration for full-time officers with the approval of the board of directors.
Article 5: Remuneration Payment Date
Regular remuneration and bonuses are paid according to the Foundation's employee salary regulations. Other remuneration is paid as needed.
Article 6: Remuneration Payment Method
1. Remuneration is paid in cash to the individual.
2. Remuneration can be transferred to the individual's designated bank account upon request.
3. Taxes and other deductions are made according to laws and regulations.
Article 7: Daily Calculation
1. New full-time officers and part-time officers (limited to the chairman) receive regular remuneration from their starting date.
2. Regular remuneration is paid until the date of retirement or dismissal.
3. In case of death, regular remuneration is paid until the end of the month.
4. Regular remuneration is calculated on a daily basis when payment starts or ends on a date other than the first or last day of the month.
Article 8: Expenses
1. The Foundation may reimburse expenses incurred by officers and council members while performing their duties.
2. Expenses are paid promptly upon request, and advance payment is possible when necessary.
Article 9: Public Disclosure
The Foundation publicly discloses this regulation as the standard for remuneration payment according to Article 20, paragraph 1 of the Public Interest Corporation Authorization Law.
Article 10: Revision
This regulation is revised with the approval of the council.
Article 11: Supplemental Provisions
The chairman determines necessary matters for implementing this regulation with the approval of the board of directors.
Appendix
1. Effective date: April 1, 2012
2. Special provision for regular remuneration: From April 1, 2012, to March 31, 2013, the regular remuneration for full-time officers is reduced by 6% of the amount specified in Appendix 2.
