CONTRACT FOR WORK/SERVICE
FOR THE EXECUTION OF MECHANICAL WORKS (INSTALLATION OF NEW AIR CONDITIONING-VENTILATION SYSTEM AND REPAIR OF THE GREENHOUSE), FOR THE NEEDS OF THE PROJECT
"WING OF DONORS IN THE EASTERN WING OF THE SECOND FLOOR IN THE PALACE OF SAINTS MICHAEL AND GEORGE IN CORFU" WITH CODE MIS 464803"
Between:
On the one hand, the Museum of Asian Art of the Ministry of Culture and Sports, based in Corfu, legally represented by Despina Zernioti, hereinafter referred to as the "Contracting Authority",
On the other hand, ...................................., legal representative of the Company (or Consortium) with the name ...................................... and the distinctive title ................................................., based in .........................................., hereinafter referred to as the "Contractor".
They agreed and mutually accepted the following:
The contracting party, the Greek State, assigns to the contractor the execution of mechanical works, installation of a new air conditioning-ventilation system, and repair of the greenhouse, within the framework of the project "WING OF DONORS IN THE EASTERN WING OF THE SECOND FLOOR IN THE PALACE OF SAINTS MICHAEL AND GEORGE IN CORFU" WITH CODE MIS 464803",
(a) in accordance with the tender document no. 1/2015 and its technical specifications,
(b) in accordance with the technical and financial offer of the contractor,
(c) in accordance with the applicable legislation, and
(d) in accordance with the decision no. ..../……-…….-…… of award,
and the contractor declares that it accepts the execution of the project, with the following terms and agreements, which the contractor accepts unconditionally:
ARTICLE 1. SUBJECT OF THE CONTRACT
1. The subject of the contract is the execution of mechanical works, installation of a new air conditioning-ventilation system, and repair of the greenhouse, within the framework of the project "wing of donors in the eastern wing of the second floor in the palace of saints Michael and George in Corfu", as specifically provided for in the tender document and its technical specifications, which form an integral part of this contract.
2. The contractor is obliged to complete the subject of the contract free from defects (actual and legal) and with all the agreed properties.
ARTICLE 2. GENERAL OBLIGATIONS OF THE CONTRACTOR
1. The contractor is obliged to execute the project in a proper manner and is responsible for its completion in accordance with the terms of the contract. The contractor is obliged to cooperate with the contracting authority during the implementation of the project and for the resolution of problems that arise during the execution of the project.
2. The contractor is obliged to provide all the necessary personnel, materials, and means for the proper execution of the project. The contractor bears all the necessary general and special expenses for the completion of the contract, as described in the contract documents, including the costs of salaries and wages of its personnel, employer's contributions, taxes, fees, duties, insurance premiums, insurance deductions or contributions, travel expenses, and all kinds of unforeseen expenses and all legal burdens and deductions in favor of the State or a third party, which are in force at the time of signing the agreement, with the exception of VAT.
3. The contractor has the obligation to comply with the provisions of labor legislation. The personnel used must have the necessary professional licenses. All vehicles required for the execution of the project must be insured.
4. The contractor is obliged to take all necessary measures in a timely manner, so that the contracting authority and its organs do not suffer any disturbance or the slightest damage.
5. The contractor, immediately after signing the contract, must set up the necessary site facilities. The contractor will maintain these facilities throughout the duration of the works and as many of them as are necessary, in the opinion of the contracting authority, until the project is delivered. The representatives of the contracting authority may visit any area of the site, as broadly defined, at any time of the day and without any restriction.
6. The contractor has the obligation to take care of the custody of any material, machinery, tools, etc. that belong to it or to third parties and are located on the site. Until the project is delivered, in case of loss, damage, or destruction of material or machinery, etc. that belongs to it or to a third party, the contractor has the obligation to compensate the owner or to restore the material, etc. without being entitled to claim any compensation.
7. It is forbidden to stay or store on the site any machinery or materials of the contractor or its subcontractors that are not used in the specific project.
8. Before delivery, the contractor will remove any installation, machinery, surplus material, tools, etc. from the project area, so that upon delivery, the area is handed over completely clean. In any case, the contractor is obliged to execute immediately and unconditionally any instruction of the contracting authority and its supervisors regarding the extent and type of site facilities and their possible removal.
9. The term "Environmental Protection Measures" includes all measures that the contractor must take during the construction of the project to minimize disturbances in the area where it is executed, as provided by the applicable legislation. The contractor will compensate the contracting authority for any claim for damages due to noise or other disturbance caused during the execution of the works, as well as for any claims, procedures, damages, costs, and charges arising from them or in relation to them.
10. All works necessary for the execution, completion, and maintenance of the project will be carried out in such a way as not to disturb the public peace unjustifiably and abusively.
11. The contractor is obliged to execute the works in a safe manner and in accordance with the laws, decrees, police and other regulations and instructions of the contracting authority regarding the hygiene and safety of workers, and to take all necessary safety measures without any compensation.
12. The contractor must provide its personnel with the necessary individual and collective protective equipment and tools for safe work, such as helmets, safety glasses, safety belts, boots, gloves, etc.
13. The contractor remains solely and exclusively responsible for the safety of workers on the project and is responsible for taking the appropriate and correct safety measures and complying with the relevant regulations. For accident prevention, the general provisions of Greek legislation apply, and only in special cases not provided for by this legislation will international accident prevention regulations be applied.
14. The contractor is obliged to notify the contracting authority of the orders and instructions of the various authorities regarding the indicated control, safety, etc. measures addressed or communicated to it during the execution of the project.
15. The contractor is obliged to keep a work diary, in which the daily execution of the works will be recorded and will be signed daily by the project manager or the supervising engineer of the project.
16. All expenses arising from the above are borne by the contractor.
