PURPOSES

Promote exchange of ideas among members
Aid progress of public accounting profession
Enhance status of certified public accountants
Provide forum for discussion of issues and concerns
Encourage research and advance public relations

ARTICLE II: MEMBERSHIP

Limited to individuals licensed as Certified Public Accountants
Members must subscribe to and agree to be bound by by-laws
Members may withdraw by tendering written resignation
Members may be suspended or expelled for violating by-laws or conduct unbecoming

ARTICLE III: MEETINGS OF MEMBERS

Regular meetings held in Westchester and/or Rockland County
Annual meeting held in September to elect directors and officers
Special meetings may be called by president or Board of Directors
Written notice of meetings to be mailed to members

ARTICLE IV: QUORUM AND VOTING OF MEMBERS

Each member entitled to one vote
Members may vote in person or by proxy
Quorum of 25 votes required for transaction of business
Affirmative vote of majority required for action

ARTICLE V: CANVASS OF MEMBERS

Mail canvass to be held if requested by Board of Directors, members, or petition
Ballot to be prepared with fair summary of arguments pro and con
Ballots to be mailed to members and counted within 20 days.
