Summary

Binance operates the world's largest centralized digital asset exchange through an opaque web of corporate entities controlled by CEO Changpeng Zhao. Binance solicits and accepts orders from customers in the United States, including through derivatives transactions, despite publicly stating its intent to "block" or "restrict" US customers. Binance's initial phase targeted retail customers, while later phases focused on institutional customers, including VIP customers. Binance's officers, including former Chief Compliance Officer Samuel Lim, have known that soliciting US customers subjected Binance to registration and regulatory requirements under US law, but have chosen to ignore those requirements. Binance has disregarded applicable federal laws, including laws requiring the implementation of controls to prevent and detect money laundering and terrorism financing. Binance has never been registered with the CFTC and has violated core provisions of the CEA and the Regulations, including offering off-exchange commodity futures transactions, soliciting and accepting orders for commodity futures, options, swaps, and retail commodity transactions, and accepting money or property to margin or secure trades.
