Summary

The Supreme Court of New South Wales held that a certifier, in this case the Director of Works, has a duty to act impartially and that it is an implied term of the contract that the principal, the Commonwealth of Australia, is obliged to ensure the certifier acts fairly and justly. The court found that the Director of Works' discretion is narrow and must be exercised according to the rights and obligations of each party to the contract. The case establishes that the courts usually imply a term into the contract that the Superintendent will act, and the Principal shall ensure that the Superintendent acts, in a fair, unbiased, and competent manner.
