True Value Company, L.L.C. ("Seller") sets forth Terms and Conditions of Sale ("Terms") for Customer's purchase of products. Sales are governed by these Terms, and Seller reserves the right to change them. Customer must pay in full on the due date, and past-due balances are subject to a finance service charge. Customer may be eligible for a volume rebate on qualifying purchases. Seller permits use of its servicemarks, trademarks, and trade names under its brand standards. All information and material furnished to Customer are confidential and may not be disclosed without prior written approval. Customer acknowledges that Seller has not granted exclusive territorial rights and that these Terms do not create a fiduciary relationship. Customer is responsible for ensuring products comply with local laws and regulations. These Terms continue in force unless terminated due to default, which includes failure to pay, fulfill provisions, or becoming insolvent. Upon default, Seller may take actions such as terminating the Terms, demanding reclamation, or suspending deliveries.
