These Terms and Conditions apply to all sales and purchases of goods by TESCAN GROUP, a.s. if agreed upon in the Purchase Agreement. The Terms and Conditions are available on the website www.tescan.com and shall be applied in their entirety unless otherwise agreed. Divergent provisions in the Agreement prevail over these provisions, and the Terms and Conditions prevail over non-compulsory legal provisions.

An Agreement arises from a written order and its unreserved confirmation by the seller. The buyer can withdraw an order without charge after written confirmation of order receipt. Deviations and additions to the order are only valid if confirmed in writing by the buyer.

The seller issues an invoice that complies with the requirements of an accountable receipt, and payment is due within 30 days from the invoice date. The seller is entitled to charge interest on late payments, and the buyer is obliged to pay such interest.

The obligation to deliver or take over goods is considered fulfilled if the actual amount delivered or taken over differs by no more than 5% from the agreed amount. The purchase price includes all costs, and the seller undertakes to pay a contractual penalty if a smaller amount of goods is delivered.

The buyer acquires possessory title to goods upon takeover or if the seller fails to deliver in a timely manner. The seller may request surrendering of goods if the buyer is in default of payment. The buyer may not pledge goods or products owned by the seller for the benefit of third persons until full payment is made.
