1. Definitions: specified terms apply throughout.
2. Applicable Terms and Conditions:
- The Order constitutes an offer by the Purchaser to purchase Supplies.
- Order Acceptance occurs when the Supplier confirms acceptance or commences work.
- The Purchaser may withdraw the Order before acceptance.
- A binding contract is formed upon Order Acceptance, comprising the Order, Specification, Special Conditions, these Terms, and other referenced documents.
3. Quantity:
- Quantities are as stated in the Order.
- Excess quantities are not accepted unless agreed in writing.
4. Controlled Items:
- The Supplier must notify the Purchaser of Controlled Items and provide descriptions, exporter/manufacturer details, and relevant classifications.
- The Supplier must provide further information and identify alternative supplies if requested.
5. Supplier’s Undertakings:
- Supply Supplies in accordance with the Contract.
- Ensure Goods conform to the Contract and are of satisfactory quality.
- Provide Services with care and skill.
- Ensure Supplies do not infringe Intellectual Property Rights.
- Maintain information security measures and comply with laws and regulations.
6. Contract Flow Down:
- The Supplier must comply with contractual requirements under Upstream Contracts specified in the Order or subsequently brought to their attention.
