Germo S.p.A.'s general sale conditions apply to all product sales, with particular conditions in the accepted purchase order prevailing in case of contradiction. Sales contracts are governed by Italian law, and trade terms refer to Incoterms. The seller reserves the right to make changes to products without altering essential features. Delivery dates are estimates, and reasonable delays do not constitute default. The buyer can terminate the contract if the delay exceeds 6 weeks, with a 10-day notice. The seller is not liable for delays caused by force majeure, acts or omissions of the buyer, or transportation issues. In case of delay, the buyer's exclusive remedy is the return of the price and compensation for actual damages, limited to 5% of the delayed products' price. Indirect or consequential damages are excluded, except in cases of fraud or gross negligence. Delivery is considered Ex-works, and the buyer bears the risk and peril of the merchandise, even if transportation is organized by the seller.
