Summary

Glaxo Group Limited and Human Genome Sciences, Inc. owned patents covering Benlysta, a lupus treatment drug, and entered into a patent license and settlement agreement with Biogen Idec MA Inc. to settle a dispute over who was first to discover the invention. The agreement required Glaxo to pay royalties to Biogen until the expiration of the last "Valid Claim" of certain patents. After Biogen assigned the agreement to DRIT LP, Glaxo filed a statutory disclaimer disclaiming the patent and all its claims, and stopped paying royalties. DRIT sued Glaxo for breach of contract and breach of the implied covenant of good faith and fair dealing, and the court awarded damages. On appeal, the court reversed the judgment, finding that the Superior Court properly dismissed DRIT's breach of contract claim but should have granted Glaxo judgment as a matter of law on the implied covenant claim.
