Summary

La Dirección General de los Registros y del Notariado resuelve un recurso contra la negativa de la registradora mercantil de A Coruña a inscribir una escritura de aumento del capital social de la sociedad "Netex Knowledge Factory, S.L.", debido a una calificación negativa basada en la incertidumbre manifestada por el auditor en su informe sobre las cuentas anuales de la sociedad, lo que impide determinar si las partidas capitalizadas son correctas. El notario autorizante de la escritura interpuso recurso contra la calificación, alegando que el informe del auditor, aunque contiene una salvedad, expresa una opinión favorable con salvedades, lo que implica que las cuentas analizadas expresan la imagen fiel del patrimonio social y de su situación financiera. La Dirección General de los Registros y del Notariado debe determinar si el informe del auditor cumple con la finalidad prevista por la legislación de sociedades y si procede la inscripción de la escritura en el Registro Mercantil.
