1. Basis of the Sale: Sales are conditional upon customer acceptance of terms and conditions, and customer's terms are objected to if conflicting.

2. Prices: Prices are specified in Order Verification, exclude taxes and duties, and are subject to revision due to changes or increased production costs.

3. Packaging: Standard packaging is included, special packaging incurs additional costs.

4. Shipment and Delivery: Goods are shipped F.O.B. Medway, Massachusetts, and become customer's property upon delivery to carrier, with customer assuming risk and liability.

5. Payment: Payment is due 30 days net from invoice date, with delinquency charges applied to overdue amounts.

6. Cancellation/Reschedule: Cancellations or rescheduling require MicroGroup's consent, payment for finished goods, and applicable charges.

7. Restocking Fee: MicroGroup may accept standard stock product returns, charging a minimum 25% restocking fee.

8. Customer Requested Changes: Customer may request changes, with MicroGroup evaluating feasibility and cost, and customer bearing implementation costs.

9. Inspection & Acceptance: Customer must inspect goods promptly, provide written notice of rejection, and accept goods if no notice is given within 30 days.

10. Limited Warranty; Disclaimer; Limitation of Liability: MicroGroup warrants goods conform to customer's drawings and specifications, with limitations on liability for nonconformity, performance, and defects.
