Terms and Conditions of Sale

- Offer and Acceptance: Orders are binding only upon Seller's acceptance, subject to these Terms and Conditions. Seller's acceptance occurs upon acknowledging the order or delivering goods to Buyer's carrier. Buyer consents to these Terms by notifying Seller, accepting delivery, or using/selling the goods. Seller rejects any other terms unless agreed to in writing by an officer.
- Price: Prices are in USD, F.O.B. Seller's facility in Lake Zurich, Illinois, unless otherwise agreed. Seller may correct obvious pricing errors.
- Taxes: Prices exclude taxes, which Buyer must pay to Seller.
- Delivery & Retention of Title: Delivery dates are approximate and non-binding. Title to goods remains with Seller until full payment. Buyer must protect and identify goods as Seller's property until title transfers.
- Risk of Loss: Buyer assumes all risk for loss or damage from tender to Buyer's carrier or completion and readiness for shipment, if delayed by Buyer's act/omission.
- Inspection, Acceptance & Return: Buyer has 30 days to inspect and reject non-conforming goods. No returns are allowed without Seller's prior authorization. Accepted returns incur handling and re-inspecting charges.
- Payments: Invoices are due within 30 days, unless otherwise agreed. Late payments incur a 1.5% monthly interest charge. Buyer pays Seller's enforcement costs.
- Limited Warranty: Seller warrants good title and defect-free goods for one year or expected life, whichever is shorter. Warranty excludes misuse, abuse, or unauthorized design changes. Defective goods' sole remedy is as per Section 10.
