Summary

The fifth session of the UNIDROIT Working Group on Factoring Model Law took place from 16 to 18 May 2022, with 37 participants. The session covered various topics, including the adoption of the agenda, summary report of the second session, and consideration of substantive matters such as priority rules, treatment of intellectual property, transition, notification, and debtor discharge by payment. The Working Group discussed and agreed on the use of the term "transfer" in Chapters V and IX, and the expansion of the definition of "transfer" in Article 2(1) to include "the rights of a transferee arising from a transfer". The group also simplified Article 29 on competing transfers and decided to delete Article 30 on competing transfers created by different transferors. The session concluded with the organization of future work and any other business.
