The Purchaser's acceptance of goods or services does not constitute acceptance of the Supplier's terms. The Terms apply to all future transactions, and contracts require written form. Prices are "delivered duty paid," and payment is due within 60 days of receipt of the invoice and goods. The Supplier is responsible for ensuring defect-free delivery, and the Purchaser has the right to use any included software. The Supplier must maintain secrecy regarding any information made accessible by the Purchaser and may not use or disclose such information without prior written approval. The Supplier grants the Purchaser a free, transferable right of use for any know-how and inventions related to the goods or services.
