Pharma Dynamic N.V.'s General Terms and Conditions of Sale apply to all negotiations and contracts between the company and its buyers, superseding any other terms or conditions. The terms can only be modified in writing and remain valid even if part of a provision becomes invalid.

The formation of a contract occurs when the buyer's order is accepted in writing or when products are delivered. The buyer is bound to their order until it is explicitly rejected. Prices are exclusive of taxes and levies, and the company reserves the right to increase prices due to changes in costs.

Payment is due at the time of agreement formation, and overdue payments carry a 2% per annum interest rate above the statutory commercial rate. The company can withhold delivery if payment is overdue and claim costs related to overdue payment.

Delivery dates are approximate, and the company is not liable for failure to deliver on a specific date. The company can make part deliveries, and packaging is included in prices unless otherwise agreed.

The buyer must inspect products immediately after receipt and report any defects within 24 hours. If defects are not reported, the products are assumed to be in good condition, and consequences are at the buyer's risk. The company can cancel agreements if the buyer becomes insolvent or fails to meet obligations.
