These General Terms and Conditions of Sale apply to business transactions with entrepreneurs, public-law legal entities, and public-law special funds. The terms and conditions are exclusive, and any contradictory terms by the buyer do not apply. Offers are subject to alteration, and acceptance of orders requires written confirmation. The seller retains proprietary rights and copyrights to all documents made available to the buyer. Prices are quoted ex works, exclusive of packaging and VAT, and payment is due 14 days after delivery. The buyer is entitled to offsetting only if counterclaims are legally established or undisputed. Delivery schedules are non-committal, and deadlines are conditional upon timely receipt of documents and payment. The seller is liable for delayed delivery, but claims for compensation are limited. Risk of accidental loss passes to the buyer upon handover or collection. Force majeure and retention of ownership are also addressed in the terms and conditions.
