1. Applicability and Definition: These terms apply to service purchases unrelated to production goods, incorporated into the Lear Corporation Purchase Order Terms and Conditions. Services are considered "Goods" under the main terms.

2. General Provision: Purchaser can source services from third parties or internal sources, including similar alternatives.

3. Performance Standards: Seller must perform services with high professional and ethical standards, using competent personnel. They must comply with laws, regulations, and Purchaser's policies, and promptly replace unsatisfactory employees. Confidentiality agreements are required for on-site employees.

4. Service Warranty: Seller guarantees Services will meet specified standards, drawings, etc. provided in the Order. This warranty is additional to any applicable warranties on goods.

5. Purchaser Service Representative(s): Purchaser may designate representatives to direct service arrangements. Seller must follow these directions unless authorized otherwise in writing by Purchaser's Vice President – Purchasing.

6. Invoice and Payment: Monthly invoices for Services are submitted to Purchaser, with approval from the designated representative where applicable. Payment terms begin after invoice approval. Additional reports and accurate record-keeping are required from Seller.

7. Rejection: Purchaser can inspect and reject Services post-delivery. Rejection rights include reimbursement, credit, replacement, or repair.

8. Required Consents: Seller must obtain any necessary consents or approvals for providing Services at its own cost.

9. Independent Contract Relationship: The relationship between Purchaser and Seller is that of independent contractors. No joint venture, partnership, employer-employee, or agency relationship exists. Seller is responsible for its employees' taxes and benefits, while Purchaser provides none.
