The Securities and Exchange Commission of Sri Lanka (SEC) is located at the World Trade Centre in Colombo. It was established in 1987 and has the vision to become the benchmark regulator in South Asia for effective capital market regulation. The SEC's mission is to promote, develop, and maintain a fair, efficient, orderly, and transparent capital market. Its objectives include creating and maintaining an orderly market, protecting investor interests, operating a Compensation Fund, and regulating the securities market. The SEC has various powers, duties, and functions, including granting licenses, regulating take-overs and mergers, conducting investigations, and advising the government on securities market development. It also has a number of statutory funds, including the Cess Fund, Settlement Guarantee Fund, and Compensation Fund. The SEC is composed of ten non-executive members, including six appointed by the Minister of Finance, the Deputy Governor of the Central Bank, and three members by virtue of their offices.
