Das Oberlandesgericht Frankfurt a.M. hat in einem Urteil vom 17.03.2021 entschieden, dass eine Serienschadenklausel in einer D&O-Versicherung unwirksam ist, da sie nicht hinreichend bestimmt ist und gegen das Transparenzgebot verstößt. Die Klausel sei zu unbestimmt, da der Begriff "derselbe Sachverhalt" und "zeitlicher Zusammenhang" nicht klar definiert seien. Darüber hinaus sei die Klausel zum Ausschluss der Rückwärtsdeckung "völlig unklar" und damit unwirksam. Das Gericht hat auch den Wissentlichkeitsausschluss als unwirksam angesehen, da der Terminus "rechtskräftig festgestellt" nicht klar definiert sei. Der D&O-Versicherer schulde nur Abwehrkostenerstattung, nicht aber eine Freistellung von der Vergleichszahlung.
