General Conditions.pdf

1.1 These General Conditions of Sale, Delivery and Installation are binding if declared applicable.
1.2 All agreements must be in writing to be valid.
2.1 A contract is concluded when the supplier confirms acceptance in writing.
2.2 Quotations without an acceptance period are not binding.
3.1 The order confirmation determines the scope of delivery and services.
3.2 The supplier may make changes without prior notice if it results in improvements.
4.1 Technical documentation is not binding unless agreed otherwise.
4.2 Each party reserves rights to technical documentation and similar information.
4.3 The supplier grants the customer the right to use delivered software exclusively.
5. The customer must inform the supplier of regulations in the destination country.
6.1 Prices are quoted net, ex works, in EUR, without packaging and VAT.
6.2 The supplier may amend prices if costs increase after contract conclusion.
6.3 Price changes are permitted if there are more than four months between contract conclusion and delivery.
7.1 The payment period is 14 days net from the date of invoicing.
7.2 Payments for orders over EUR 50,000 must be made in installments.
7.3 Payments must be made at the supplier's place of business without deductions.
7.4 The supplier reserves the right to cease delivery and charge default interest in case of payment default.
7.5 The supplier may invoice costs associated with expenses for overdue notices.
7.6 The customer may not withhold payments due to unrecognized complaints.
7.7 The purchase price claim is due immediately if the customer ceases payment or becomes insolvent.
8.1 The supplier retains title to the delivery until full payment is made.
8.2 The supplier may have their retention of title entered in the appropriate register.
9.1 The delivery period begins when the supplier accepts the order.
9.2 The delivery period is extended if the supplier does not receive specifications in time or if there are hindrances.
