Terms and conditions govern the supply of goods by Vulcan Steel Limited to customers, constituting the entire agreement between the parties. Prices quoted are based on current rates and charges, and orders may only be cancelled or varied with Vulcan's prior written consent. The customer may elect to have goods delivered or pick them up, with delivery costs payable by the customer. Vulcan bears the loss or damage to goods in transit if delivery is elected, otherwise, the customer is responsible. The customer must inspect goods upon delivery and notify Vulcan of any defects within seven days. Payment is due 20 days after delivery, and Vulcan may charge default interest and expenses if payment is late. Ownership of goods remains with Vulcan until full payment is made, and the customer grants Vulcan the right to enter premises and repossess goods in the event of default. Vulcan warrants goods to be of merchantable quality but excludes all other conditions and warranties implied by law, and will not be liable for any consequential loss or damage. The customer waives its rights under the Personal Properties Securities Act and agrees not to consent to any security interest in respect of the goods until title and ownership pass to the customer.
