The himolla Group's General Terms of Purchase apply to all deliveries, services, and offers from suppliers, with the terms being exclusively applicable to business relationships with suppliers. Deviating terms from suppliers are not recognized unless explicitly approved in writing. Individual agreements take precedence over these terms, and written contracts or confirmations are decisive for the contents of such agreements. Orders are binding upon written submission or confirmation, and the seller must confirm orders in writing within 7 calendar days. The delivery time stated by himolla is binding, and the seller must inform himolla immediately if it expects to miss the agreed-upon delivery time. In cases of default, himolla can request flat-rate compensation of 1% of the net price per completed calendar week, up to 5% of the net price of the late-delivered goods. The seller bears the procurement risk for its services and is not entitled to have services provided by third parties without prior written consent from himolla. Deliveries are carried out "carriage paid" at the place stated in the order, and the risk of accidental loss or deterioration passes to himolla with hand-over at the place of performance.
